Abstract
Result-based energy contracts, particularly Type II gas contracts, link financial obligations to the achievement of measurable and verifiable outcomes. In this framework, Measurement and Verification plays a decisive role in determining financial entitlement. However, Iranian legal literature has often treated M&V merely as a technical or operational report rather than as a mechanism producing independent legal effects.
Using an analytical and comparative approach grounded in contract law theory, this article examines the legal nature of M&V in Type II gas contracts. It argues that financial obligations under these contracts are inherently conditional and become enforceable only upon formal verification of energy savings through the agreed M&V process. Accordingly, M&V functions as a condition precedent to payment, such that the execution of technical measures alone does not create a legally enforceable claim. The article also considers the implications for the burden of proof, contractual liability, and dispute resolution.
