ضرورت تدوین نظام حقوقی ویژه برای ادغام بانک‌ها در حقوق ایران با بهره‌برداری از نظام حقوقی آمریکا

چکیده
ادغام بانک‌ها یکی از موضوعات پیچیده نظام بانکی است. ادغام در نظام بانکی به‌صورت غیرکمکی یا کمکی واقع می‌شود. به‌دلیل ویژگی‌های متمایز بانک‌ها از سایر شرکت‌های تجاری و آثار خاص ادغام در نظام بانکی، تدوین مقررات ویژه حاکم بر ادغام بانک‌ها ضروری است. تعیین نقش نهادناظر بانکی، محدوده اختیارات و وظایف آن، نقش سایر نهادهای ناظر مانند مراجع صالح رقابتی ومعیارهای ارزیابی ادغام بانک در ادغام‌های غیرکمکی وتعیین مقام صالح تصمیم گیرنده، محدوده اختیارات آن ونوع بانک‌های مشمول این نوع از ادغام باید توسط قانونگذار صورت پذیرد.درنظام حقوقی آمریکا در و قانون شرکت بیمه سپرده فدرال (1950) قانون ادغام بانک‌ها (1960) و سایر قوانین مربوطه، مقررات حاکم برادغام بانک‌ها تبیین گردیده است. حاصل مطالعه بیانگر نبود مقررات متناسب با ادغام بانک‌ها درنظام حقوقی ایران است.
